Pirola Pennuto Zei & Associati advised the Parlym group and its Italian subsidiary Proeco S.r.l., and MV Legal Tax Advisory represented the selling shareholders in the transaction. Milan, 10 December 2025 – The Parlym group, a French leader in the design, construction and management of large-scale infrastructures in the nuclear, oil & gas and renewable energy sectors with a strong presence across Africa, has acquired 100% of Tea Sistemi S.p.A. through its Italian subsidiary Proeco S.r.l. Tea Sistemi is an Italian provider of Health, Safety & Environment and Risk Services, specialising in high-technology projects for the petrochemical and energy sectors. Pirola Pennuto Zei & Associati assisted Parlym and Proeco for the legal and tax aspects of the transaction and for all regulatory matters related to the notification to the competent authorities under the Golden Power rules concerning special powers exercisable by the Government in certain strategically relevant sectors.
