S&C Advises SoftBank on Stellar Beacon Investment in Twenty One Capital and NYSE Listing

"S&C advised SoftBank and its subsidiary Stellar Beacon on Stellar Beacon’s investment in Twenty One Capital in connection with Twenty One’s business combination with Cantor Equity Partners, which resulted in Twenty One listing on the NYSE as XXI. Twenty One is majority‑owned by Tether Investments and Bitfinex, with significant SoftBank minority ownership."

S&C represented SoftBank and its subsidiary Stellar Beacon in connection with Stellar Beacon’s investment in Twenty One Capital and Twenty One’s business combination with Cantor Equity Partners that led to Twenty One’s listing on the New York Stock Exchange. Stellar Beacon, a SoftBank subsidiary, completed its investment in Twenty One Capital in connection with Twenty One’s business combination with Cantor Equity Partners. As a result of the combination, Twenty One is now listed on the New York Stock Exchange under the ticker XXI. Twenty One is a Bitcoin‑native company that will strategically allocate capital to increase Bitcoin per share. The company is majority‑owned by Tether Investments, S.A. de C.V., the world’s largest stablecoin issuer, and Bitfinex, with significant minority ownership by SoftBank. The SoftBank Group invests broadly in breakthrough technology and comprises SoftBank Group Corp. (TOKYO: 9984), holding interests across AI, smart robotics, IoT, telecommunications, internet services and clean energy technology providers, as well as the SoftBank Vision Funds.
