Latham & Watkins Advises Initial Purchasers on CoreWeave US$2.25 Billion Convertible Senior Notes Offering

Latham & Watkins LLP represented the initial purchasers in connection with CoreWeave, Inc.'s private offering of convertible senior notes. CoreWeave, Inc. (Nasdaq: CRWV) announced the pricing of a private offering of US$2.25 billion aggregate principal amount of its 1.75% convertible senior notes due 2031. The offering was upsized from a previously announced US$2.0 billion aggregate principal amount. The issuance and sale of the notes are scheduled to settle on December 11, 2025, subject to customary closing conditions. CoreWeave also granted the initial purchasers an option to purchase, for settlement within a 13‑day period beginning on, and including, the date on which the notes are first issued, up to an additional US$337.5 million aggregate principal amount of notes.
