Simpson Thacher Obtains Dismissal of Counterclaims Against DigitalBridge and Its CEO in Nevada Court

"Simpson Thacher represented DigitalBridge Group, Inc. and its CEO in securing dismissal in the First Judicial District Court of Nevada of counterclaims filed by Tract Capital Management and related entities arising from Switch, Ltd.'s property dispute. The court found no general or specific personal jurisdiction over DigitalBridge or its CEO and refused to impute jurisdiction based on Switch’s Nevada incorporation."

Simpson Thacher represented DigitalBridge Group, Inc. and its CEO in litigation before the First Judicial District Court of Nevada in Storey County. The dispute arose from counterclaims filed by Tract Capital Management, LP and related entities alleging tortious interference, civil conspiracy and alter ego liability in connection with Switch, Ltd.’s property dispute with Tract. An affiliate of an investment fund managed by DigitalBridge acquired Switch, together with other investors, in December 2022. In a ruling dismissing the case in its entirety, District Judge Jason D. Woodbury agreed with Simpson Thacher’s arguments that the court lacked both general and specific personal jurisdiction over DigitalBridge—a Maryland corporation headquartered in Florida—and its CEO. The court also rejected attempts to impute jurisdiction to DigitalBridge or its CEO based on Switch’s incorporation in Nevada, concluding that Tract had the burden to provide evidence to make a prima facie showing of jurisdiction and failed to meet that burden.
