Racine acted as French counsel to HealthCare Royalty (HCRx), and Morgan Lewis served as lead U.S. counsel, assisting HealthCare Royalty in a strategic royalty financing agreement with Nanobiotix. The transaction is a non-dilutive royalty financing arrangement under which HealthCare Royalty may provide up to $71 million to Nanobiotix. The financing contemplates an initial payment of $50 million at closing and a contingent additional tranche of $21 million one year later, subject to conditions. In consideration, HealthCare Royalty will receive a portion of milestone payments and royalties arising from the global license agreement for JNJ-1900 (NBTXR3), followed by a residual period during which it will collect a share of royalties. The financing is intended to support the development of JNJ-1900 (NBTXR3) and to advance Nanobiotix's growth prospects.
