Schellenberg Wittmer advises ams-Osram on carve-out of AR/VR business to AlphaLum and seed financing

Schellenberg Wittmer represented ams-Osram in respect of the carve-out of its augmented reality (AR) and virtual reality (VR) business to a newly created subsidiary, AlphaLum, and in the subsidiary’s subsequent seed financing. The carve-out involved the transfer of ams-Osram’s AR and VR activities into AlphaLum, a newly established entity created to house the business. Schellenberg Wittmer advised on the structuring and implementation of the carve-out and on related corporate matters. Schellenberg Wittmer represented ams-Osram with a team composed by: Pascal Hubli, Elia Schunck, Daniele Simoniello and Hervé N’Zita (corporate/M&A); Petra Spring (employment); Michael Nordin and Tabea Bänteli (taxation).
