CMS Advises Prologis on Pioneering PPA with ENGIE in Poland

CMS advised Prologis on its entry into a pioneering power purchase agreement (PPA) with ENGIE in Poland. The agreement, which will come into effect in January 2026 and runs for five years, secures the sale of approximately 335 GWh of electricity over the term from an Engie-owned wind farm at a fixed price. Any remaining demand under Prologis’s requirements may be met through purchases on the wholesale market. Prologis is the first logistics property developer in Poland to announce signing a physical PPA for the sale of renewable energy. CMS acted as legal adviser at every stage of the process: drafting the key terms and a draft agreement, negotiating the contractual wording with bidders in a competitive procedure, and advising on the selection of the counterparty with which the PPA was concluded. The transaction combines long-term purchases of energy from renewable sources with flexible market mechanisms and sets a new benchmark for the commercial property market in Poland. It forms part of the ongoing decarbonisation of the industrial and commercial sectors, where PPAs are used to stabilise energy costs, reduce emissions and support the national energy transition amid price volatility and evolving regulatory requirements.
