ADVANT Nctm and LMCR assist in transfer of Midsea from Midolini Group to Equiter SGR

LMCR advised the sellers — shareholders of Midolini Group including the Midolini family, Giacomo Pittini, Smart Capital S.p.A. and VSL Club S.r.l. — while ADVANT Nctm advised Equiter SGR in connection with the transfer of the entire share capital of Midsea. The transaction consists of the sale of 100% of Midsea, a longstanding Friulian company active in cargo loading and unloading, goods storage, project cargo and general port services, to Equiter Infrastructure II, a fund managed by Equiter SGR. The disposal forms part of Midolini Group’s rationalisation strategy and its ongoing consolidation on a high-growth market segment, strengthening the group’s financial solidity. Since 2022 Midolini Group has been indirectly held by Smart Capital — a permanent-capital industrial holding specialised in private equity and PIPES — and by VSL Club, the first Italian club deal focused on shipping. With support from Smart Capital and VSL Club, the group has recently completed an effective reorganisation that, through satellite companies, also operates in lifting, logistics and training. The closing is expected in the first half of 2026, subject to the receipt of the necessary regulatory approvals.
