Osborne Clarke, Cabinet Bompoint and Moncey Avocats advise SPD on acquisition of Casinvest's 25.94% stake in Société Fermière du Casino Municipal de Cannes

"Osborne Clarke, Cabinet Bompoint and Moncey Avocats advised the Barrière family holding Société de Participations Deauvillaise (SPD) on acquiring 25.94% of SFCMC from Casinvest at €1,897 per share. DWF and ATOZ advised Casinvest. After the transaction SPD will hold over 93% of capital and plans to seek delisting in 2026."

Osborne Clarke, Cabinet Bompoint and Moncey Avocats advised the Barrière family holding Société de Participations Deauvillaise (SPD), while DWF and ATOZ advised seller Casinvest. The transaction concerns SPD's purchase from Casinvest of 25.94% of the capital and 26.82% of the voting rights of Société Fermière du Casino Municipal de Cannes (SFCMC) at a price of €1,897 per share. SPD, already the majority shareholder of SFCMC, which operates the Casino Barrière Croisette, three luxury hotels (Le Majestic and the Gray d'Albion in Cannes and the Carl Gustaf in St Barth) and restaurants, signed the agreement to simplify its structure and intends to seek delisting in 2026. The operation is scheduled to complete no later than 19 December 2025. On closing SPD will hold 146,894 shares, representing 93.17% of SFCMC's capital and 96.25% of the voting rights.
