Weil Advises Boeing in Securing Antitrust Approvals for $4.7 Billion Acquisition of Spirit AeroSystems

"Weil acted as global (ex‑U.S.) antitrust counsel to The Boeing Company in its all‑stock acquisition of Spirit AeroSystems Holdings Inc., valued at approximately $4.7 billion. Weil secured clearance from the European Commission subject to divestments to Airbus and CTRM and obtained unconditional approvals including the UK CMA, as well as approvals in Morocco, Saudi Arabia, Ukraine and the U.S."

Weil represented The Boeing Company as global (ex‑U.S.) antitrust counsel in connection with Boeing’s acquisition of Spirit AeroSystems Holdings Inc. The transaction completed as an all‑stock acquisition of 100% of the issued share capital of Spirit at an equity value of approximately $4.7 billion. Spirit is a leading supplier of aerostructures to Boeing, Airbus SE and a number of other commercial and military aircraft manufacturers. Weil secured clearance from the European Commission and a number of other regulatory authorities. The European Commission’s clearance is conditional on the divestment of Spirit’s operations and assets that produce components for Airbus aircraft to Airbus, and on the divestment of Spirit’s Subang, Malaysia operations to Composites Technology Research Malaysia Sdn Bhd (CTRM). Weil also obtained several unconditional clearances, including a Phase 1 clearance from the UK Competition and Markets Authority, and regulatory approvals in Morocco, the Kingdom of Saudi Arabia and Ukraine. The deal also received clearance in the United States.
