Collas Crill advised Ormer Capital Limited on the launch of Ormer Capital Funds PCC Limited and its first cell, Ormer Equity Partners. The transaction involved the establishment of Ormer Capital Funds PCC Limited as a registered, open‑ended Qualifying Private Investment Fund (QPIF) using the Guernsey protected cell fund structure, which permits the creation of multiple cells or sub‑funds within a single vehicle. The launch took advantage of the recently revised QPIF regime, including the removal of the audit requirement and the removal of the cap on the number of overall investors, changes intended to simplify and expedite market entry for new managers. The fund’s first cell, Ormer Equity Partners, will pursue a concentrated, high‑conviction strategy investing in a portfolio of exceptional smaller listed companies where management alignment exists and acquisitions can be made at attractive prices. By targeting high‑quality businesses that are often overlooked by mainstream investors, the strategy aims to capture long‑term opportunities in an under‑researched segment of the market.
