Slaughter and May Advises Ocean Wilsons in Successful Bermudian Litigation Over Disputed Scheme of Arrangement

"Slaughter and May advised Ocean Wilsons Holdings Limited in successful Bermudian litigation that led to the sanctioning and effectiveness (9 December 2025) of a disputed members’ scheme of arrangement enabling an all‑share combination with Hansa Investment Company Limited to form a London‑listed differentiated investment company with net assets in excess of £900 million."

Slaughter and May advised Ocean Wilsons Holdings Limited in Bermudian litigation concerning a disputed members’ scheme of arrangement related to its recommended all‑share combination with Hansa Investment Company Limited. The litigation concerned objections by a minority shareholder to the sanctioning of the scheme, raised on grounds including class composition and fairness. After hearing expert evidence and submissions, the Bermuda Court dismissed those concerns in full and ordered the scheme to be sanctioned. The scheme became effective in accordance with its terms on 9 December 2025. The Combination will create a differentiated investment company of meaningful scale, listed on the London Stock Exchange, with total net assets in excess of £900 million and a diversified, global portfolio of investment funds, direct equities and private assets.
