Proskauer advises Bridgepoint Development Capital V on reinvestment in Brevo

"Proskauer advised Bridgepoint Development Capital V on its reinvestment in Brevo as part of the company’s €500 million fundraising. Bridgepoint reinvested as a minority via BDC V; General Atlantic and Oakley Capital joined the round. The funding elevates Brevo to unicorn status and will support AI investment, US expansion and M&A."

Proskauer advised Bridgepoint Development Capital V on its reinvestment in Brevo. The transaction comprises Brevo’s latest €500 million capital raise, in which Bridgepoint confirmed its conviction in Brevo’s long‑term growth potential by reinvesting as a minority shareholder through BDC V. Bridgepoint, a leading global mid‑market investor active across private equity, infrastructure and private credit, completed the full realisation of its initial minority stake from its prior vintage, BDC III, which first invested in Brevo in 2020. Following the transaction, Brevo’s management and employees become the company’s principal shareholders. General Atlantic and Oakley Capital also join Bridgepoint on the share register in this new financing round. The operation marks Brevo’s attainment of unicorn status for the first time. The newly raised capital will support substantial investments in artificial intelligence, accelerate growth in the United States and underpin a strengthened mergers and acquisitions strategy. Since Bridgepoint’s initial investment in 2020, Brevo has undergone significant transformation, completed nine complementary acquisitions and now serves more than 600,000 customers in over 180 countries, driven by a product‑led growth model and a leading deliverability infrastructure. Proskauer represented Bridgepoint Development Capital V with a team composed by: Xavier Norlain (Partner, Private Equity / M&A), Matthieu Lampel (Partner, Private Equity / M&A), Laurent Asquin (Partner, Private Equity / M&A), Fadoua Nounnouhi (Associate, Private Equity / M&A), Mary Wilks (Partner, Antitrust) and Calum Paton (Associate, Antitrust).
