Paul Hastings Advises FCDE on Sale of Majority Stake in Bertin Group

The transaction is designed to support Bertin's continued organic and external growth across photonics, defence, nuclear and life sciences and remains subject to staff consultation and regulatory approvals."

Paul Hastings (Europe) LLP advised FCDE in connection with the proposed sale of its majority shareholding in Bertin Group to Fremman Capital, Chequers Capital and the company's management. The transaction envisages FCDE transferring its majority equity interest in Bertin, a leading European provider of scientific instrumentation and high-technology critical systems serving photonics, defence and security, nuclear and life sciences sectors. With the arrival of Fremman Capital and Chequers Capital as investors, Bertin is positioned to begin a new phase of development, pursuing both sustained organic growth and a strategy of external expansion. FCDE had been Bertin's majority shareholder since 2022, alongside management and BNP Paribas Développement. The operation marks the culmination of a close partnership with the company's management that materially accelerated Bertin's growth, strengthened its industrial base and expanded its presence in rapidly growing sovereign markets. Under the envisaged new ownership, Bertin will have reinforced foundations to continue its development, accelerate international expansion and consolidate its leadership in strategic markets. The transaction remains subject to consultation with employee representative bodies and any required regulatory approvals.
