Demarest and Lobo de Rizzo Advise on BOAB BRL 5.3 Billion Debenture Issuance

"Demarest advised Bloco de Onze Aeroportos do Brasil (BOAB), Aena's Brazilian subsidiary, and Lobo de Rizzo Advogados advised underwriters Banco Santander (Brasil) and BNDES on BOAB's first issuance of BRL 5.3 billion secured, non-convertible debentures under CVM 160. The issuance was qualified as infrastructure debentures and will fund reimbursement of prior costs and new investments across several airport complexes, including Congonhas."

Demarest advised Bloco de Onze Aeroportos do Brasil (BOAB), the Brazilian subsidiary of Aena, and Lobo de Rizzo Advogados advised the underwriters, Banco Santander (Brasil) and Banco Nacional de Desenvolvimento Econômico e Social (BNDES), in connection with BOAB's debenture issuance. The transaction comprised BOAB's first issuance of simple debentures, non-convertible into shares and secured by real collateral, in the total amount of BRL 5.3 billion. The debentures were offered through public distribution under the automatic registration procedure pursuant to CVM Instruction 160, with Banco Santander (Brasil) and BNDES acting as underwriters. The issuance qualified the securities as infrastructure debentures for priority projects before the Ministry of Ports and Airports, rendering them subject to certain tax benefits for investors. The net proceeds will be used to reimburse expenses, costs and debts incurred within the 36 months prior to the offering's closing date and to finance new investments related to the expansion, maintenance and operation of airport infrastructure within the Airport Complexes comprising the Bloco SP/MS/PA/MG, including Congonhas Airport in São Paulo.
