Kirkland & Ellis Advises Hexion on Sale of U.S. Gulf Coast Formalin Business to Ancala

"Kirkland & Ellis advised Hexion, an American Securities portfolio company, on the sale of its U.S. Gulf Coast formalin business to Ancala. The transaction transfers facilities in Baytown, Texas; Luling and Geismar, Louisiana, together with multi-year customer contracts. Financial terms were not disclosed."

Kirkland & Ellis advised Hexion, a leading global producer of adhesives and performance materials and an American Securities portfolio company, on the sale of its U.S. Gulf Coast formalin business to Ancala, an independent infrastructure manager. The transaction transfers Hexion’s formalin operations, including facilities located in Baytown, Texas; Luling, Louisiana; and Geismar, Louisiana, along with associated multi‑year customer contracts. These facilities are among the largest suppliers of methanol‑based raw materials on the U.S. Gulf Coast. Financial terms of the transaction were not disclosed. Kirkland & Ellis represented Hexion with a team composed by: corporate lawyers Duncan Enista, Michael Weisser and Halley Petersen; debt finance lawyers Melissa Hutson and Ashley Martin; and tax lawyers Mark Schwed and Timothy Campany.
