Sullivan & Cromwell Advises AB InBev on $490 Million Acquisition of Majority Stake in BeatBox

Sullivan & Cromwell LLP advised Anheuser‑Busch InBev (AB InBev) in connection with the transaction in which AB InBev agreed to acquire a majority stake in BeatBox. Under the agreement, AB InBev will acquire 85 percent of BeatBox for a purchase price of up to $490 million. The deal provides AB InBev with a contractual path to 100 percent ownership after five years based on a predetermined pricing formula. The acquisition brings a fast‑growing ready‑to‑drink brand into AB InBev’s Beyond Beer portfolio, which already includes Cutwater Spirits, NÜTRL Vodka Seltzer and Phorm Energy. AB InBev is the world’s largest brewer, owning and operating more than 500 beer brands and over 100 facilities, and is the owner of several prominent American beer brands including Budweiser, Bud Light, Michelob ULTRA and Stella Artois. The transaction is the latest in Sullivan & Cromwell’s decades‑long relationship with AB InBev and its predecessor companies, following matters such as the firm’s work on AB InBev’s strategic partnership with Netflix, the launch of a new energy drink partnership with 1st Phorm and Dana White, the extension of AB InBev’s Worldwide Olympic Partnership with the International Olympic Committee through 2032 to include the Olympic Winter Games French Alps 2030 and the Olympic Games Brisbane 2032, the 2024 agreement to extend sponsorship with FIFA to include the inaugural FIFA Club World Cup 2025™, the 2019 Hong Kong IPO of Budweiser APAC and the 2016 merger with SABMiller.
