Latham & Watkins Advises Fastly on US$160 Million Convertible Senior Notes Offering

"Latham & Watkins LLP represented Fastly, Inc. in a private Rule 144A offering of US$160 million aggregate principal amount of 0% convertible senior notes due 2030, upsized from US$125 million. The issuance is expected to settle on December 9, 2025, subject to customary closing conditions; initial purchasers have a 13-day option to buy up to an additional US$20 million of notes."

Latham & Watkins LLP represented Fastly, Inc. in connection with the offering of convertible senior notes. Fastly, Inc. (NYSE: FSLY) priced a private offering of US$160 million aggregate principal amount of 0% convertible senior notes due 2030 to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933. The offering size was increased from the previously announced US$125 million aggregate principal amount. The issuance and sale of the notes are scheduled to settle on December 9, 2025, subject to customary closing conditions. Fastly also granted the initial purchasers an option to purchase, for settlement within a period of 13 days from, and including, the date the notes are first issued, up to an additional US$20 million aggregate principal amount of notes.
