Hogan Lovells Advises Acea on Sale of Acea Energia to Eni Plenitude

Hogan Lovells advised Acea S.p.A. on the sale of its entire holding in Acea Energia S.p.A. to Eni Plenitude S.p.A. Società Benefit, acting for Acea on all phases of the transaction. The transaction provides for the transfer of Acea's entire interest in Acea Energia, a company active in the energy retail market that also holds a 50% stake in Umbria Energy S.p.A., to Eni Plenitude S.p.A. Società Benefit, a company controlled by Eni that combines renewable electricity generation, energy sales and energy solutions. The agreed nominal consideration is approximately €600 million, with a further potential price component of up to €100 million payable to Acea based on certain performance objectives to be reported as at 30 June 2027. As a result of the acquisition, Plenitude will incorporate into its portfolio more than 1.4 million retail customers in Italy. Finalisation of the transaction is expected by June 2026 and remains conditional on clearance by the relevant antitrust authorities.
