Arsene advises sellers in sale of Médipréma Group to Sodero and InnovaFonds

"Arsene advised sellers Naxicap Carvest, Bpifrance, Crédit Mutuel Equity and Didier Delavault on the sale of Médipréma Group to Sodero (FPCI Transmettre & Pérenniser III) and InnovaFonds (FPCI FIT III). Arteo, Taxand's Belgian correspondent firm, assisted on Belgian tax matters. Médipréma, a neonatal-care group with brands Beldico, Médipréma and IMP, generated c.€40m in 2024 and targets €60m by 2029."

Arsene represented the sellers Naxicap Carvest, Bpifrance and Crédit Mutuel Equity together with Didier Delavault, the historic CEO of Médipréma Group. Arteo, Taxand's Belgian correspondent firm, assisted the sellers on Belgian matters. The transaction concerns the sale of the share capital of Médipréma Group to Sodero (FPCI Transmettre & Pérenniser III) and InnovaFonds (FPCI FIT III). Sodero and InnovaFonds will support the ongoing managerial transition and back the group's development plan, including international expansion and targeted external growth. Loire Centre Capital will also accompany this new phase of growth. Founded in 1976 in Touraine, Médipréma Group is a leading European player in neonatology organised around three complementary brands: Beldico (single-use consumables), Médipréma (neonatal medical equipment) and IMP (distribution of nursing, adult care and laboratory products). The group employs more than 200 people across France and Belgium, markets its solutions in over 50 countries and recorded approximately €40 million in revenue in 2024. Médipréma aims to reach €60 million in revenue by 2029. Arsene represented the sellers Naxicap Carvest, Bpifrance, Crédit Mutuel Equity and Didier Delavault with a team composed by: Brice Picard (Partner, tax), Camille Angibaud (Associate, tax), Lisa Cotty (Associate, tax) and Marine Potier (Associate, tax). Arsene, a firm specialised in tax law, carried out the fiscal due diligence for the sellers in France and coordinated the Belgian workstream with its Taxand correspondent.
