Pinheiro Guimarães advises BYX Capital founders on purchase of Banco Pine stake

Pinheiro Guimarães advised the founders of BYX Capital and BYX Capital, and Pereira Neto Macedo Rocco Advogados advised Banco Pine in the transaction. The founders of BYX Capital agreed to acquire the 33% stake held by Banco Pine in BYX Capital. Consideration for the transaction comprises a mix of a cash payment of R$100 million and an equity component corresponding to 38% of the capital of AmigoZ, a Brazilian fintech offering accessible payroll-deductible loans (crédito consignado) and cards. BYX Capital is a Brazilian fintech focused on technology-driven credit solutions, particularly payroll-deductible loans, providing a full‑stack platform for originators, banks and investors that handles loan origination, management and securitization, and enables benefit cards and digital credit access through associated partners. Closing of the transaction is subject to certain conditions precedent, including approval by CADE. Itaú BBA acted as financial advisor to the founders of BYX Capital, while XP Investimentos acted as financial advisor to Banco Pine. Pinheiro Guimarães represented the founders of BYX Capital and BYX Capital with a team composed by: Rodrigo Marcilio (partner), Ana Carolina Cassins Galdino (partner), Jonas Assumpção (associate).
