MQMGL&D Advises Sacyr on $1.565 Billion Sale of Three Colombian 4G Road Concessions to Actis

The transaction announced on 26 November 2025 comprises the sale by Grupo Sacyr of three major road concession projects in Colombia—Autopista Pamplona–Cúcuta, Autopista al Mar 1 and Autopista Rumichaca–Pasto—for a total consideration of USD 1.565 billion to an entity controlled by Actis Long Life Infrastructure Fund II. These projects are key assets within Colombia’s fourth-generation (4G) infrastructure programme. The firm acted as legal advisor to Grupo Sacyr on tax, corporate and existing financing matters throughout the process, which required coordination across multiple jurisdictions, including Colombia, the United Kingdom and New York. The divestment is one of the region’s significant infrastructure transactions of the year, positioning Actis to expand its long-term presence in Latin American transport assets while allowing Grupo Sacyr to advance its strategic reorganisation. PPU represented Grupo Sacyr as legal counsel on the share purchase. Brigard Urrutia advised Actis on the acquisition and on the existing financing arrangements associated with the assets. Paul Hastings acted as New York counsel to Grupo Sacyr on financing-related matters.
