Parola Associati and PedersoliGattai assist AGSM AIM in acquisition of entire share capital of three SPVs

Parola Associati represented AGSM AIM, and PedersoliGattai represented the sellers (Aren Electric Power, Sistemi Energetici and TRE Power Energy). L&B Partners acted as financial advisor to the sellers, while EY Parthenon and Vector Renewables provided tax and technical advice to AGSM AIM. The transaction involved the acquisition by AGSM AIM of the entire share capital of three special purpose vehicles (SPVs) that collectively hold four operational wind farms located in Puglia, with an aggregate capacity of approximately 55 MW. The closing of the deal took place following approval by the financing institutions of the targets. Parola Associati represented AGSM AIM with a team composed by: Managing Partner Lorenzo Parola and Partner Andrea Coluzzi, assisted by Senior Associate Federica Re on the negotiation of the contractual documentation including the preliminary sale agreement and the W&I insurance; Partner Andrea Leonforte, who coordinated the due diligence, supported by Senior Associate Luigi Agostinacchio, Associates Silvia Pellegrino, Antonio Fuiano and Veronica Valentina Nolè, and trainee Lorenzo Bottari. The transaction also involved AGSM AIM’s in-house legal team coordinated by Daniela Ambrosi. PedersoliGattai represented the sellers (Aren Electric Power, Sistemi Energetici and TRE Power Energy) with a team composed by: Partner Giovan Battista Santangelo, Senior Counsel Jacopo Ceccherini, Senior Associate Flavia Bertini and Associates Filippo Speroni, Filippo Maria Volpini and Alessandro Pica.
