Birketts Advises Totum on Transition to Employee Ownership

"Birketts advised recruitment consultancy Totum on the sale of 100% of its share capital into an Employee Ownership Trust (EOT). The move places the business in the hands of current and future employees, with founders remaining active and responsibilities transferring gradually to protect culture, independence and long-term succession."

Birketts advised recruitment consultancy Totum on its transition to an Employee Ownership Trust (EOT). The transaction involved the sale of 100% of Totum’s share capital into an EOT to benefit the company’s current and future employees. Totum, which specialises in leadership and business services roles for law and other professional services firms, completed the transfer so that ownership of the business is placed in the hands of the people who have helped make it a success. Founders Tim Skipper, Deborah Gray and Gary Jones remain active in the business; the EOT model was described by the founders as a natural extension of Totum’s people-first culture and a means to support long-term planning for the next generation of leaders, with responsibilities transferring gradually over time to ensure continuity for colleagues and clients. Employee ownership is highlighted by Totum and Birketts as a way to strengthen engagement and performance, foster innovation and protect the independence, culture and quality of service on which clients rely. Founder Tim Skipper said: “We were fortunate to be recommended to use Birketts by a fellow recruitment business owner who transitioned to an EOT two years ago. From start to finish, the team worked seamlessly on the transaction, bringing in extra expertise where needed but keeping the consistent main points of contact. The whole journey was one of super-efficiency, plus flexibility, good humour and gold-star service. We are delighted we used Birketts and will always be a strong advocate going forward.” Birketts represented Totum with a team composed by: Lisa Hayward (Partner, Head of Employee Incentives); Laura Gray (Corporate); Rebecca Hughes (Employment); Olivia Sherman (Employee Incentives); Freya Palmer (Employee Incentives).
