SAM and CAM advise on Eris Lifesciences acquisition of remaining stake in Swiss Parenterals for ₹423.3 crore

Shardul Amarchand Mangaldas & Co advised Eris Lifesciences, and Cyril Amarchand Mangaldas advised Swiss Parenterals and Mr. Naishadh Shah in the transaction. Eris Lifesciences Limited will acquire 30% of the total share capital of Swiss Parenterals Limited from Mr. Naishadh Shah, for an aggregate consideration of ₹423.30 crore. The consideration will be discharged by Eris through the issuance of equity shares of Eris Lifesciences Limited to Mr. Naishadh Shah on a preferential basis. Last year Eris Lifesciences acquired a majority equity stake in Swiss Parenterals, a leading player in the sterile injectables business across more than 80 emerging markets in Africa, the Asia Pacific and Latin America, to expand its sterile injectables footprint. Upon completion of the proposed acquisition, subject to receipt of necessary stock exchange approvals, Swiss Parenterals will become a wholly owned subsidiary of Eris Lifesciences.
