Shardul Amarchand Mangaldas Advises Eris Lifesciences on Acquisition of Remaining Stake in Swiss Parenterals

Shardul Amarchand Mangaldas & Co. acted as legal advisor to Eris Lifesciences Limited in connection with the proposed acquisition of the remaining stake in Swiss Parenterals Limited from Mr. Naishadh Shah. Eris Lifesciences Limited, which currently holds 70% of the share capital of Swiss Parenterals Limited, proposed to acquire the remaining 30% of SPL for an aggregate consideration of INR 423.30 crores. The consideration is to be discharged by Eris Lifesciences Limited through the issuance of equity shares to Mr. Naishadh Shah on a preferential basis. Upon completion of the proposed acquisition, and subject to receipt of the necessary stock exchange approvals, Swiss Parenterals Limited will become a wholly owned subsidiary of Eris Lifesciences Limited.
