Occhiuto Legal advised Smartness in the acquisition of 100% of MyComp. BCA Legal handled labour and employment due diligence for the transaction, and Milano Notai (notaio Stefania Anzelini) oversaw the notarial aspects. Smartness, an AI-native company that develops software solutions for the hospitality sector and serves more than 4,000 clients across 41 countries, has completed the acquisition of 100% of MyComp. MyComp is a digital agency founded in 2004, specialised in web consultancy, revenue management, digital marketing and management solutions for hotels and holiday villages. The transaction was finalised at the end of November and forms a strategic element of Smartness' 2026 roadmap, aimed at building an advanced European technology ecosystem to optimise revenues, enhance commercial performance and reduce dependence on online travel agencies. The acquisition occurs amid profound transformation in the hospitality sector, increasingly driven by integrated solutions based on artificial intelligence. With the integration of MyComp — a company with over twenty years of experience and the proprietary management suite MyGuestCare — Smartness will combine its AI-native technologies with MyComp's sector-specific expertise. The combined offering is intended to enable accommodation providers to adopt more automated, data-driven management models, increase direct bookings, improve margins and strengthen independence from intermediaries. Occhiuto Legal represented Smartness with a team composed by: Lucia Occhiuto (founder), Beatrice Gragnoli (senior associate, M&A and Venture Capital) and Alecsia Pagani (of counsel, intellectual property and IT). BCA Legal represented the transaction on labour and employment due diligence with a team composed by: Simone Carrà (managing partner), Laura Corbeddu (senior associate) and Rachele Moresco (associate). Milano Notai represented the transaction for notarial aspects with: notaio Stefania Anzelini.
