Campa Avvocati Advises Smart Capital on 48.9% Investment in Officina Ci‑Esse

Campa Avvocati represented Smart Capital (and its subsidiary Smart4Mechanics) on the legal aspects of the transaction, while Studio Legale Ratti & Fogliani Associati advised the sellers; Palumbo & Partners acted as tax advisor to Smart Capital; Ethica Group served as financial advisor to Smart Capital; and Studio Spaggiari Pivetti & Partners provided support to the sellers. Smart Capital, a permanent-capital industrial holding specialised in private equity and private investments in public equity, through its subsidiary Smart4Mechanics, has acquired a 48.9% interest in Officina Ci‑Esse, a company active in precision mechanical machining. The operation is consistent with the strategy announced by Smart Capital at the time of its IPO and aims to create a sector platform capable of aggregating Italian mechanical engineering excellence. The objective is to build an Italian consolidator in a market characterised by a high degree of fragmentation.
