Two Investors Secure Future of Long-Established Vollert in Insolvency

"SZA Schilling, Zutt & Anschütz advised the insolvency estate of Vollert in a structured investor process that split the business. The intralogistics and shunting divisions were transferred by asset deal to newly founded Vollert Heavy Duty Solutions GmbH with strategic partner PKD Holding (JLF Group), and the precast concrete plants were sold by asset deal to Elematic Oyj. Approximately 190 jobs at Weinsberg will be retained."

SZA Schilling, Zutt & Anschütz represented the insolvency estate of Vollert and assisted the structured investor process that led to the sale of the company's business units to PKD Holding (part of the JLF Group) and to Elematic Oyj. The intralogistics and shunting systems divisions have been transferred by way of an asset deal to the newly founded Vollert Heavy Duty Solutions GmbH and will continue to focus on heavy‑duty intralogistics solutions. The new strategic partner for this business is PKD Holding, part of the Czech JLF Group. Operational management will remain with the owner family. The precast concrete plants business unit was sold, also by way of an asset deal, to Finnish plant manufacturer Elematic Oyj, and will continue to operate independently. Business operations were maintained on a stable basis throughout the insolvency process. The structured separation of the business units and the clear industrial logic of the transactions made it possible to achieve an overall solution that is viable for all parties involved. Around 190 jobs at the Weinsberg site will be retained. “The aim of the proceedings was to create sustainable prospects for the individual business units and to preserve as many jobs as possible. Both of these goals have been achieved,” explained Marc‑Philippe Hornung.
