Linklaters and Pavesio e Associati in financing for BasicNet's acquisition of Woolrich Europe

Linklaters and Pavesio e Associati acted in the financing for BasicNet’s acquisition of Woolrich Europe, with Linklaters advising UniCredit S.p.A. and Pavesio e Associati advising BasicNet and TOW S.p.A. The transaction: The BasicNet Group acquired the rights to the Woolrich® trademark for Europe and 100% of Woolrich Europe S.p.A., the company responsible for its distribution and retail activities. The acquisition was completed through TOW S.p.A., a company wholly controlled by BasicNet, which holds the entire share capital of Woolrich Europe S.p.A. Financing details: UniCredit S.p.A., acting as strategic partner of the Group, mandated lead arranger and sole lender, provided two medium‑to‑long‑term credit lines respectively for the benefit of BasicNet and TOW S.p.A., and a revolving credit line for the benefit of Woolrich Europe S.p.A., for a total maximum amount of €90 million. The facilities are secured by personal guarantees issued by BasicNet and by real guarantees over the subsidiaries TOW S.p.A. and Woolrich Europe S.p.A. Linklaters represented UniCredit S.p.A. with a team composed by: partner Ettore Consalvi (team coordinator), counsel Alessandra Ortelli, managing associate Sara Giugiario, associate Alice De Vita and trainee Rosa Maria Moschella. The team advised UniCredit on the financing aspects of the transaction. Pavesio e Associati represented BasicNet and TOW S.p.A. with a team composed by: partners Carlo Peyron, Marco Tessera Chiesa and Andrea Cristaudi, who coordinated the corporate finance aspects of the operation.
