Stephenson Harwood advises Jifmar on financing and acquisition of 15 vessels from Seacontractors and refinancing of group corporate debt

Stephenson Harwood, AKD, Addleshaw Goddard and Fenech and Fenech advised Jifmar in connection with the acquisition of 15 workboats from Dutch seller Seacontractors and the refinancing of the group's corporate indebtedness. The transaction closed on 19 November 2025 and constitutes a major step in Jifmar's expansion across the Middle East and the Indian Ocean. Jifmar acquired 15 workboats together with their crews from Seacontractors in a strategic asset purchase designed to strengthen its regional fleet and operational capacity. The financing package combined senior loan facilities provided by a syndicate of French banks led by Société Générale and Caisse d'Epargne CEPAC, together with a bond issuance subscribed by Flexam. The proceeds were used to fund the acquisition and to refinance existing corporate debt of the Jifmar group. Given the cross-border nature of the deal, the transaction required coordinated legal work across multiple jurisdictions. Stephenson Harwood coordinated legal advice from its Paris, London and Dubai offices and engaged recognised local counsel in the Netherlands, Scotland and Malta to ensure comprehensive coverage of regulatory and corporate matters in six jurisdictions.
