Dentons Advises Lender Consortium on USD 160 Million Subordinated Facility for Capital Bank of Jordan

"Dentons advised a consortium of lenders — including the EBRD, OPEC Fund for International Development, the Arab Fund for Economic and Social Development, SANAD Fund for MSME (via its Debt Sub‑Fund) and the Green for Growth Fund — on a USD 160 million, 10‑year unsecured subordinated term loan to Capital Bank of Jordan. Ali Sharif Zu’bi Advocates & Legal Consultants advised Capital Bank. The facility strengthens Tier II capital and supports MSME lending and is the largest Basel III‑compliant subordinated loan and the largest financial‑sector debt mobilization in Jordan."

Dentons advised a consortium of lenders, including the European Bank for Reconstruction and Development (EBRD), the OPEC Fund for International Development, the Arab Fund for Economic and Social Development, SANAD Fund for MSME (acting through its Debt Sub‑Fund) and the Green for Growth Fund, on a USD 160 million subordinated term loan facility extended to Capital Bank of Jordan. Ali Sharif Zu’bi Advocates & Legal Consultants advised Capital Bank of Jordan. The transaction comprises a USD 160 million unsecured term loan facility with a 10‑year tenor. According to Dentons, the financing constitutes the largest debt mobilization ever arranged in Jordan’s financial sector, the largest Basel III‑compliant subordinated loan issued to a Jordanian financial institution, and the first EBRD A/B loan to a financial institution in the country. The facility is designed to strengthen Capital Bank’s Tier II capital base and to expand its capacity to finance micro, small and medium‑sized enterprises across Jordan.
