Eversheds Sutherland advises on three Spanish transactions in automotive, infrastructure and technology

Eversheds Sutherland advised Cox Automotive on the acquisition of Bergé’s 50% stake in Manheim Directo, supported Colliers on its acquisition of a controlling interest in Astris Infrastructure LLC, and advised Arcwide, the BearingPoint–IFS joint venture, on the acquisition of Cedar Bay Ibérica. The first transaction saw Cox Automotive purchase the remaining 50% interest in Manheim Directo from Bergé, bringing the company wholly under Cox Automotive ownership. Manheim Directo specialises in digital and mobile vehicle auctions and provides fleet management and inspection services for OEMs, fleet operators and finance companies. The second transaction involved Colliers acquiring a controlling interest in Astris Infrastructure LLC, a global investment banking firm focused on infrastructure and the energy transition. The deal was led by Eversheds Sutherland’s US office, with due diligence outside the US coordinated by the UK office and the Spanish team advising on local legal aspects. The third mandate had Eversheds Sutherland advising Arcwide, the joint venture between BearingPoint and IFS, on its acquisition of Cedar Bay Ibérica, a Spanish provider of enterprise solutions specialised in IFS software. The shares were purchased from founders Gustavo Brito and Luis Llopis. Eversheds Sutherland represented Cox Automotive with a team composed by: partner Juan E.
