Giambrone & Partners International Law Firm assisted 123 Investments Limited, the company that trades as Moda in Pelle, in the execution of the definitive agreement for the acquisition of 49% of the shares of GlobalTech, a U.S.-based technology holding company specialising in artificial intelligence, big data and emerging technologies. The transaction provides for Moda in Pelle to enter GlobalTech's share capital through the issuance of ordinary shares and Series A convertible preferred shares. The preferred shares will be convertible into ordinary shares upon the contemplated listing on the Nasdaq Capital Market. Founded in 1975 in Leeds, Moda in Pelle is today one of the United Kingdom's leading luxury footwear and accessories brands, with a widespread presence across the UK through more than forty stores and concessions, an established e-commerce platform and a network of independent retailers. The brand is noted for combining British elegance with Italian leather manufacturing tradition. For GlobalTech, the acquisition of a majority interest in Moda in Pelle represents a strategic step to strengthen its presence in the UK retail market and to evolve its digital platform. The operation is intended to integrate with the group's proprietary artificial intelligence solutions, including the Thrivo AI platform, to enhance e-commerce capabilities, data analytics and personalization of the customer shopping experience.
