Pirola Pennuto Zei & Associati and Pirola Corporate Finance advised Baumann Federn AG/Prodotti Baumann in the transaction, while Bonafè Grifoni e Associati, Alma LED, FC & Partners Corporate Finance, Sustain Tech Hub – Società Benefit and PwC Tls advised Newport & Co Società Benefit. Prodotti Baumann, the Italian arm of Baumann Federn AG, which designs and manufactures compression springs for highly specialized applications, has completed the sale of 100% of its share capital to Newport & Co Società Benefit. The transaction included carve-out and due diligence activities coordinated among the parties. Pirola Pennuto Zei & Associati represented Baumann Federn AG / Prodotti Baumann with a team composed by: equity partner Massimo Di Terlizzi, associate partner Graziana Toscano and associate Costanza Ceruti. Pirola Corporate Finance assisted Baumann Federn AG on the structuring of the carve-out and on transactional and commercial aspects, providing direct support in the preparation and coordination of due diligence activities. Bonafè Grifoni e Associati represented Newport & Co Società Benefit with a team composed by: Federico Baratta and Ivan Tresca. Alma LED represented Newport & Co Società Benefit with a team composed by: Francesco Stocco and Andrea Piermartini Rosi, supporting the preparation of contractual texts.
