Linklaters and Pavesio e Associati advise on financing for BasicNet’s acquisition of Woolrich Europe

Linklaters advised Unicredit and Pavesio e Associati advised BasicNet and Tow in connection with the financing supporting BasicNet Group’s acquisition of the Woolrich trademark rights for Europe and of 100% of Woolrich Europe. The BasicNet Group acquired the rights to the Woolrich trademark for Europe and the entire share capital of Woolrich Europe, the company responsible for distribution and retail, through Tow — a company wholly owned by BasicNet which now holds all shares in Woolrich Europe. Unicredit, acting as strategic partner of the group, mandated lead arranger and sole lender, provided two medium‑to‑long‑term credit facilities, respectively for the benefit of BasicNet and of Tow, and a revolving facility for the benefit of Woolrich Europe, for a combined maximum amount of €90 million. The credit lines are secured by personal guarantees granted by BasicNet and by real guarantees over the subsidiaries Tow and Woolrich Europe.
