Valsoia acquires 70% of Slovenian Kele & Kele with RASS – Rinaldi e Associati as legal adviser

RASS – Studio Legale Rinaldi e Associati advised Valsoia in the transaction; Deloitte carried out accounting and tax due diligence for Valsoia; and Slovenian firm Završek & Šnajder acted for Kele & Kele. Valsoia, a leading company in the Italian health food market, has agreed to acquire 70% of the Slovenian producer and distributor Kele & Kele, maker of the Krepko kefir brand. The initial consideration for the 70% stake is approximately €3 million, reflecting a total enterprise value of €5.4 million. The remaining 30% of the share capital will remain with the current founding shareholders, who will continue to play an active role in the company's management for a minimum period of three years. During this period they will support Valsoia's management in the gradual and full transfer of production and technological know-how, business knowledge and operational processes. At the end of the three-year period Valsoia will have the right to proceed, via a put and call mechanism, to the possible acquisition of the remaining 30% of the share capital. Kele & Kele, founded in 1992 near Ljubljana by the Kelečevič family, has been specialised since its establishment in the production and marketing of traditional kefir under the Krepko brand. The company's business is currently developed solely in Slovenia, where Krepko holds a leading position in the kefir segment with significant market share and widespread distribution in modern trade and direct channels.
