Gide advises biopharmaceutical Inventiva on $172.5 million US ADS offering

Cooley LLP advised Inventiva on US law. Davis Polk advised the banks including Piper Sandler & Co. and Leerinck Partners LLC on US matters, and CMS Francis Lefebvre advised the banks on French law. The raise complements a prior €348m financing."

Gide and other firms advised the parties to the transaction: Gide advised biopharmaceutical company Inventiva in connection with the US offering; Cooley LLP advised Inventiva on US law matters; Davis Polk advised the banks, including Piper Sandler & Co. and Leerinck Partners LLC, on US law matters; and CMS Francis Lefebvre advised the banks on French law matters. The transaction consisted of a public offering in the United States of American Depositary Shares (ADS) for a total amount of $172.5 million. The offering was represented by approximately 44.8 million ADS following the full exercise of the overallotment option. This capital raise complements a previously agreed financing package of up to €348 million, concluded in October 2024 and composed of several firm or conditional tranches. Inventiva, a biopharmaceutical company listed on Euronext Paris and Nasdaq that develops oral therapies for metabolic dysfunction–associated steatohepatitis (MASH), expects main results from its Phase 3 NATiV3 study in the second half of 2026.
