Antas da Cunha Ecija advises on HiPay Portugal merger into Hipay France

Antas da Cunha Ecija advised Hi-pay Portugal Unipessoal and Hipay France on the cross-border merger, in collaboration with French law firm BCTG Avocats acting as French counsel. The transaction involved the merger of Hi-pay Portugal Unipessoal into Hipay France, by which all assets and liabilities of the Portuguese entity were transferred to Hipay France’s branch in Portugal. The French branch in Portugal has been renamed “Hipay branch in Portugal.” The operation was designed to simplify the group's organisational structure, increase operational efficiency and profitability, and strengthen the integration of the company's activities in Portugal. All operations and services previously provided by Hi-pay Portugal will now be performed by the new branch, ensuring full continuity while reinforcing the group's financial and operational capacity, according to the advising law firm. Antas da Cunha Ecija represented Hi-pay Portugal Unipessoal and Hipay France with a team composed by: Amílcar Silva (partner), Carolina Meireles (of counsel), Carolina Ribeiro Santos (senior associate), and Sofia Macedo de Faria (associate).
