PwC TLS advises Groupe Carso on acquisition of controlling stake in Multiproject

PwC TLS conducted comprehensive legal, labour, payroll, tax, incentives & grants and financial due diligence."

PwC TLS advised Carso Italia, a company of Groupe Carso, in the acquisition of a controlling stake in Multiproject. The shareholders of Multiproject were assisted by counsel Sara Vito and by tax advisor Alessandro Signoretti. The transaction concerns the purchase by Carso Italia, part of Groupe Carso — one of the leading European providers of chemical and microbiological analyses in the environmental and agri‑food sectors with more than 20 laboratories across Europe — of a controlling interest in the share capital of Multiproject. Multiproject is an accredited, independent laboratory that performs chemical analyses on water, soils, waste and excavated rock, provides environmental engineering services, and designs, implements and manages systems and networks for environmental monitoring and data control. PwC TLS represented Carso Italia (Groupe Carso) with a team composed by: Salvatore Cuzzocrea and Giulio Della Casa (coordinators), supported by Valeria Chiocca and Carmine Putrino. PwC TLS also carried out the legal due diligence and coordinated multiple specialist diligence teams: labour law due diligence was led by Alessia Sveva Spadoni with Alberto Buson Bens and Carlotta Lombardini; payroll due diligence was led by Marzio Scaglioni with Antonio Giardina and Leila Rguibi; tax due diligence was led by Alessandro Marzorati with Nicolò Agostini and Anna Rita Califano; incentives & grants due diligence was led by Giovanni Marra and Andrea Brignoli with Valeria Ventura, Michele Tolu and Flavia Sasso D’Elia; financial due diligence was led by Elena Borghi with Marco De Pieri and Leonardo Liana. Counsel Sara Vito (Udine Bar) assisted the Multiproject shareholders on the legal aspects of the transaction. Tax advisor Alessandro Signoretti (Trieste) assisted the Multiproject shareholders on the fiscal aspects of the operation.
