Stibbe Advises Van Eerd Family on Acquisition of Remaining Stake in HEMA

Stibbe represented Mississippi Ventures, the investment vehicle of the Van Eerd family (owners of supermarket chain Jumbo), in connection with its acquisition of the remaining 50% of the shares in HEMA from investment company Parcom. Mississippi Ventures and Parcom had jointly acquired HEMA in 2021, each holding an equal 50% stake. Under the present transaction Mississippi Ventures is purchasing Parcom’s remaining stake, which will result in HEMA becoming wholly owned by the Van Eerd family. HEMA is an iconic Dutch retail chain with over 17,000 employees and a wide range of products for everyday life. In recent years the company has reported growth in turnover, volume, profit and customer satisfaction. The acquisition is intended to enable HEMA to continue investing in the brand and customer experience in order to further develop its growth and appeal. Jumbo and HEMA will continue to operate independently and are expected to be able to strengthen one another as a result of this step. The transaction remains subject to approval by the Netherlands Authority for Consumers and Markets (ACM) and to the advice of HEMA’s works council.
