Magnusson Denmark Advises Milexia Group on Acquisition of UR Group

Magnusson Denmark advised Paris-based Milexia Group in its acquisition of UR Group, acting as Scandinavian counsel to Milexia and cooperating with the client’s French advisers. The transaction involved Milexia Group’s purchase of UR Group through the acquisition of UR Italia S.R.L. and its European subsidiaries. Magnusson Denmark’s scope of work included a full legal due diligence and delivery of a legal due diligence report, drafting and negotiating the share purchase agreement, and providing Foreign Direct Investment (FDI) analysis and assistance with relevant filings. The firm also supported post-closing matters, including preparing employment agreements for key employees. UR Group, headquartered in Milan, has provided advanced connectivity systems, subsystems and end-to-end solutions for the defence, transportation and industrial automation markets since 1996. Milexia Group, founded in 1971, is a leading European supplier of electronic components, systems and scientific instruments, with offices and warehouses across France, Italy, Spain, the United Kingdom, Germany and the Nordics. Building on Milexia’s 2024 acquisition of Cabcon Group, this strategic purchase strengthens Milexia’s presence and capabilities in Europe and the UK and expands its ability to serve large international customers.
