Simpson Thacher Represents Underwriters and Forward Counterparties in $396.7 Million Offering of OGE Energy Corp. Common Stock

(New York Branch), in a $396.7 million SEC‑registered offering and related forward sale agreements covering 4,613,372 OGE Energy Corp. shares (including 601,744 option shares). OGE is parent of OG&E, serving ~910,000 customers."

LLC and JPMorgan Chase Bank, National Association, New York Branch, in the OGE Energy Corp. transaction. The Firm acted for the underwriters in an SEC-registered offering of 4,613,372 shares of common stock of OGE Energy Corp., which included 601,744 shares issued pursuant to the underwriters’ option to purchase additional shares. Simpson Thacher also represented Morgan Stanley & Co. LLC and JPMorgan Chase Bank, National Association, New York Branch, as forward counterparties in connection with forward sale agreements covering an additional 4,613,372 shares of OGE common stock, including 601,744 shares pursuant to the exercise of the underwriters’ option. The combined transactions were valued at approximately $396.7 million. OGE Energy Corp. is the parent company of OG&E, a regulated electric company serving approximately 910,000 customers that generates, transmits, distributes and sells electric energy in Oklahoma and western Arkansas.
