Villemor Amaral Advises Energisa on Acquisition of Majority Stake in Lurean

Villemor Amaral Advogados advised Energisa on the acquisition, and João Paulo Nascimento Advogados advised Lurean; the in-house legal team of Energisa Biogás also participated in the transaction. The transaction comprises Energisa's acquisition of a 52% equity interest in Lurean, followed by a subsequent financial investment in the company. Lurean is a waste management and organic fertilizer company based in Carambeí, Paraná. The operation is intended to enable Energisa, through the target company, to develop processes for waste reception and pre-treatment, biodigestion, biogas-based power generation, composting, and the production and commercialization of biomethane as part of Energisa's broader strategy to expand and diversify its activities in the renewable energy sector. The transaction was conducted through a subsidiary of Energisa and represents an investment of approximately BRL 100 million to build a biomethane production plant with an expected capacity of 28,000 m³/day. Commercial operations for the plant are scheduled to commence in the first quarter of 2028.
