Ashurst Advises Sojitz on Acquiring Majority Stake in Nexus Energía

Ashurst advised Sojitz Corporation of Europe on the acquisition of a controlling stake in Nexus Energía. The transaction increases Sojitz’s shareholding in Nexus Energía from 30% to 52.56%, making the Japanese group the company’s majority shareholder. Nexus Energía supplies electricity in Spain, Portugal and Mexico. The agreement contemplates the purchase of treasury shares and stakes from certain shareholders, including CE Energía Cartera and Electra del Maestrazgo, while other shareholders such as Hidroeléctrica Bausen, Gaselec Diversificación and Candin Energía will retain their holdings. The deal is expected to close in the coming months, subject to regulatory approvals and customary conditions precedent. Sojitz’s increased investment, four years after it first entered Nexus’s capital, is presented as a vote of confidence in Nexus’s 2026–2030 strategic plan, which targets doubling the volume of energy supplied and business results over the next five years.
