Advisors to ITAL Express and the seller on the acquisition of Ticino Ricambi

The transaction involved the acquisition by the French group ITAL Express, backed by NAXICAP Partners, of the Swiss company Ticino Ricambi (Dazzéro Sagl). The deal forms part of ITAL Express’s broader European growth and consolidation strategy in the vehicle spare-parts sector. Fiduciaria Antonini, acting as financial advisors to the seller, followed the financial profile of the operation. BDO France carried out the financial and commercial due diligence for the transaction. Banking and financing support for the buyer was provided by Banque Palatine, while UBS assisted the seller at closing. Jacquemoud Stanislas of Geneva advised on Swiss corporate and employment law matters, and Tax Partner AG of Zurich advised on Swiss tax issues.
