Ascopiave and SIME Partecipazioni sign preliminary agreement to acquire Società Impianti Metano with DWF and Leofortislex advising

The law firms DWF and Leofortislex assisted SIME Partecipazioni and Ascopiave, respectively, in connection with a preliminary agreement for the acquisition of Società Impianti Metano. Transaction Ascopiave has signed a preliminary contract to acquire 100% of the share capital of Società Impianti Metano, a company active in gas distribution that is currently wholly owned by SIME Partecipazioni. SIME Partecipazioni is an operating holding at the head of a privately held group active in renewable electricity production, gas distribution, retail sale of natural gas and electricity, construction and management of cogeneration and energy vector production plants, and management of district heating services. The Ascopiave Group is one of Italy's principal gas distribution operators, managing the service in 454 municipalities in northern Italy through a network of over 20,000 km and serving approximately 1,360,000 users. The Group is also active in renewable energy and integrated water services, and holds minority stakes in companies operating in information and communication technology and public services. In renewables, the Group operates 29 hydroelectric and wind plants with a total nominal capacity of 84.1 MW. Ascopiave has been listed on Euronext Star Milan since 12 December 2006. Società Impianti Metano manages about 113,000 users across 40 municipalities in Lombardy, Emilia-Romagna and Piedmont, through a network of 1,683 km. The completion of the deal is subject to the positive outcome of the Golden Power procedure. Legal teams and counsel DWF represented SIME Partecipazioni with a team composed by: Enrico Maria Curti (partner), who led a multidisciplinary team and handled regulatory, administrative and Golden Power matters; counsel Matteo Polli and associate Alberto Agresti, who managed the corporate aspects of the transaction. Leofortislex represented Ascopiave with a team composed by: partner Antonella Lillo, who led the external legal advisory, oversaw negotiation of the contracts and the Golden Power notification; partner Giulio Vidali, who conducted the administrative due diligence; partner Giacomo Pizzolon, who conducted the contractual due diligence; Fabio Gusso (of counsel), who handled contractual aspects of the acquisition. Ascopiave in-house legal department represented Ascopiave with a team composed by: Federica Stevanin (Director of Legal Affairs, Corporate, Compliance and Sustainability and Deputy General Manager), who coordinated the external support provided by Leofortislex.
