Koinos Capital SGR, an independent multi-strategy investment manager, through its fund Koinos Uno and the indirectly controlled vehicle Meduspace Società Benefit, acquired the shareholdings representing the entire capital of Dynamicom Education (a Milan-based provider of cardio-metabolic and musculoskeletal training), Formedica (a Lecce-based specialist in rheumatology training) and Meeting Planner (a Bari-based provider active in PMA, gynecology and pediatrics training). The transaction created Meduspace, described as the first Italian centre of excellence for continuing medical education (ECM). Dynamicom Education, Formedica and Meeting Planner will form the initial core of a broader aggregation project to be coordinated and wholly controlled by the holding Meduspace Società Benefit. The financing structure included the issuance by Meduspace of a bond subscribed by debt funds managed by Green Arrow Capital SGR (for Green Arrow Private Debt Fund II) and Arcano Partners (for Arcano Private Debt II). Loan Agency Services acted as issuing agent, calculation agent, noteholders’ representative and security agent. Banca Popolare di Sondrio participated in the operation as depositary bank.
