PedersoliGattai Advises Wing BidCo on Mandatory Tender Offer for Ala Shares

PedersoliGattai advised Wing BidCo (controlled by H.I.G. Capital) on the mandatory and total tender offer for the shares of Ala; Facchini Rossi Michelutti advised the offeror on the tax aspects of the transaction; and Latham & Watkins represented the pool of banks providing part of the financing. Following approval of the offer document, Wing BidCo — a vehicle controlled by the fund H.I.G. Capital — launched a mandatory and total public tender offer on the shares of Ala, a company active in integrated logistics for the aeronautical and aerospace sectors, both civil and defence (Aerospace & Defence), on a global scale. The operation aims to delist the issuer from Euronext Growth Milan. The offer concerns a total of 912,030 shares, equal to 10.10% of Ala's share capital not already held by Wing BidCo, which at the opening of the acceptance period holds 89.90% of the share capital. The acceptance period is set from 1 December to 19 December 2025, and payment to accepting shareholders is scheduled for 30 December 2025. The obligation to launch the offer arose on 21 October 2025 following the closing of the acquisition by the offeror of a majority stake in Ala. The transaction is being partially financed by a pool of banks.
