Stirling Square Capital Partners takes control of Iconsulting

BonelliErede represented Stirling Square Capital Partners; PedersoliGattai represented the founders of Iconsulting; Russo De Rosa Associati advised the sellers on tax and transactional structuring; and White & Case represented financier The Carlyle Group. Stirling Square Capital Partners, a London-based mid-market private equity firm, has signed binding agreements with Iconsulting’s founding shareholders to acquire a majority stake in Iconsulting, the leading independent Italian operator in data analysis and artificial intelligence. As part of the transaction the founders will reinvest and retain a 42.5% shareholding, and a portion of the top management team will also join the company’s capital structure. The transaction contemplates the simultaneous sale of the majority stake and the founders’ reinvestment. The Carlyle Group acted as financier to the transaction.
