Stirling Square Capital Partners takes control of Iconsulting

Stirling Square Capital Partners, a London-based mid-market private equity firm, has signed binding agreements with Iconsulting’s founding shareholders to acquire a majority stake in Iconsulting, the leading independent Italian operator in data analysis and artificial intelligence. As part of the transaction the founders will reinvest and retain a 42.5% shareholding, and a portion of the top management team will also join the company’s capital structure. The transaction contemplates the simultaneous sale of the majority stake and the founders’ reinvestment. The Carlyle Group acted as financier to the transaction. PedersoliGattai represented the founding shareholders on corporate and M&A matters with a team composed by partner Gerardo Gabrielli, senior counsel Carolina Gattai, senior associate Giulia Fioramonti, and associates Arrigo Gattai and Raul Gabrielli. Russo De Rosa Associati advised the sellers on the structuring of the transaction and on the related tax aspects with a team composed by Leo De Rosa, Andrea Bolletta, Mattia Cardinali and Alessandra Spano.
